David McMackin
Chief Executive Officer

David McMackin, CEO and co-founder of the Company, has extensive experience in business, banking, and the merchant services industries. Prior to International Payments Corporation, Mr. McMackin was the President/CEO and co-founder of AmericaOne, a merchant services company. He managed all aspects of the business, including the initial development and expansion of a national corporate sales network consisting of 25 regions and more than 250 sales representatives by utilizing proprietary recruiting, training, and management systems he designed and deployed for the Company. Prior to AmericaOne, Mr. McMackin was the CEO and co-founder of Exclusive USA Marketing Corporation, which purchased the exclusive national marketing rights to the USA Processing / Bank of America Merchant Services Program. During his leadership, he was responsible for delivering merchant enrollment volumes far greater than any previous quantities experienced by Bank of America outside its internal branch network. At the time, Mr. McMackin was also the Executive Vice President of USA Processing, which partnered with BA Merchant Services (NYSE:BAMS) and First Data Corporation (NYSE:FDC) in a joint venture that provided cash advance services to the gaming industry and later became Global Cash Access (NYSE:GCA). During Mr. McMackin's tenure, USA Processing initiated merchant-processing contracts for more than 20,000 merchants nationally. As Executive Vice President, Mr. McMackin managed all facets of the operation, including sales and marketing, merchant underwriting, attrition strategies, fraud detection, and risk management.

Mr. McMackin is also active in various processing industry groups, such as the Electronic Transactions Association (ETA), where he recently completed two terms as a member of the Board of Directors. He also served on the Nominating Committee, Chairman of the Expo Network Driving Committee, and Presidential Advisory Committee of the ETA. In addition, Mr. McMackin also served on the advisory board of the industry's leading publication, The Green Sheet. Today, Mr. McMackin is serving as the Chairman of the ETA ISO Advisory Committee.

Mr. McMackin majored in Business Administration and Marketing at San Jose State University, San Jose, California.

Steven Lipp
Chief Financial Officer and Director of Mergers & Acquisitions

Steven Lipp is the Chief Financial Officer, Director of Mergers & Acquisitions, and a co-founder of the Company. Mr. Lipp is currently a Certified Public Accountant in the State of California and has more than 30 years of experience in financial services and eight years specifically in the merchant services industry. Mr. Lipp was the Chief Financial Officer and co-Founder of AmericaOne, a merchant services company, where he implemented financial strategies that grew company revenues from zero to $21 million. Mr. Lipp was a senior partner with Ireland San Filippo, LLP, one of northern California's regional full-service accounting firms. In addition to being a partner, Mr. Lipp served on the firm's Business Services and Marketing Committees. Specialty services he provided to his clients were strategic planning, M&A transactions and disputes, strategic roll-ups, exit strategies, financial statements, tax research, planning and preparation, litigation support, consolidations, and liquidations. Prior to being at Ireland San Filippo, Mr. Lipp established his own CPA firm (Steven C. Lipp & Associates). His expertise is working with businesses on tax planning and business strategies and consulting to both profit and nonprofit organizations. Mr. Lipp has affiliations with the California Society of Certified Public Accountants and American Institute of Certified Public Accountants. He has served on the boards of directors of many companies and has been an advisor to many closely held businesses.

Mr. Lipp attended San Jose State University and holds a Bachelors of Science in Business Administration, with a concentration in Accounting.

Michael G. McMackin
Chief Administrative Officer

Michael McMackin serves as Chief Administration Officer, Secretary, and co-founder of the Company and has extensive experience in business, real estate, and banking. For the last 17 years he has been dedicated specifically to the merchant services industry. Prior to joining International Payments, Mr. McMackin served as Executive Vice President, Treasurer, Secretary, and co-founder of AmericaOne, where he managed all aspects of the business' activities, including operations, sales business units, telemarketing, and client advocate services. Mr. McMackin is accredited with the development, implementation and integration of many software and systems that enhanced all aspects of sales and operations. Prior to AmericaOne, he served as Executive Vice President, Treasurer, Secretary, and co-founder of Exclusive USA Marketing Corporation, engaging the exclusive national marketing rights of USA Processing's Bank of America (BA Merchant Services) national program. Mr. McMackin served as the National Marketing Director for USA Processing, and collectively, his duties assisted the sales and marketing teams that were responsible for the initiation of more than 400 Independent Sales Organization enrollment contracts, which operated from almost every major metropolitan area throughout the United States. Mr. McMackin was credited for his innovative development of numerous cutting-edge product and service offerings, including his assistance in lower-cost debit and surcharge transactions for Bank of America and its clients. He assisted Bank of America management with improvements that enhanced their systems and accountability and ultimately led to a 60% efficiency improvement in the bank's merchant underwriting and boarding for the partnership. Mr. McMackin has been an active member on the boards of directors for all of the above companies.

Mr. McMackin majored in Business Administration and Economics at Westmont College in Santa Barbara, California.

Konstantin Weiner
Chief Information Officer

Konstantin Weiner's extensive knowledge of computer systems and today's technologies enables International Payments Corporation to streamline, standardize, and improve the efficiency of its operations. In addition to serving International Payments, Mr. Weiner oversees the operations and software development teams for Transactent Technologies, Inc., a development company owned by David McMackin and Michael McMackin. With vision and direction from executive staff, Mr. Weiner and his IT team have developed proprietary, online systems for merchant boarding, accounting and payroll, training (eLearning), order entry, pipeline reporting, web portals, online knowledgebase, customer advocate escalation, and numerous other systems. Mr. Weiner has been contributing his enthusiasm and expertise to these companies since May, 2003. Prior to joining International Payments, he was the head of IT for AmericaOne. Before entering the merchant services industry and joining AmericaOne, Mr. Weiner established and managed TempoDynamics Group, Inc., a technology consulting company. He also contributed systems and software engineering expertise and management to a number of technology companies, including AdirTech/Net2phone (NASDAQ:NTOP), then acquired by IDT Corporation (NYSE:IDT); Merrin Financial, acquired by Automatic Data Processing (NASDAQ:ADP); and iBEAM Broadcasting (NASDAQ:IBEM), which, through several acquisitions, is owned today by Level 3 Communications, Inc. (NASDAQ:LVLT), and Bloomberg L.P. At Bloomberg, Mr. Weiner helped build many facets of the acclaimed Bloomberg Television, much of which is still in use today.

Mr. Weiner holds a Master of Science degree in Computer Science from Courant Institute of Mathematical Sciences at New York University.

Len Marmino
National Sales Manager

Len Marmino is currently International Payments Corporations' National Sales Manager. One of the most successful merchant services professionals in the country, Mr. Marmino leads a team of Regional and District Managers. His responsibilities include managing International Payments' day-to-day sales efforts, developing sales strategies to meet current market conditions, and overseeing all the training of the professional sales teams. As an effective motivator, teacher, and manager, Mr. Marmino has helped create a corporate culture at International Payments, where employees are supported, encouraged, and inspired to do their very best for themselves and the company. His tireless efforts, positive attitude, and wealth of experience are facilitating the growth and success of International Payments and its employees. Prior to joining International Payments, Mr. Marmino served as National Sales Manager of AmericaOne Merchant Services, where he developed many innovative training, operational, and sales strategies that catapulted the company to newfound sales successes. Before joining AmericaOne, Mr. Marmino spent 14 years at First Data Corporation. There he was a Regional Sales Manager for the South East, with direct responsibility for 10 states, and ranked either first or second regarding "Man of the Year" awards for more than eight years. He achieved "Sales Manager of the Year" six times during the 14 years, as well. As a top revenue producer from 2002 through 2005, Mr. Marmino was directly responsible for over $14.4 billion in new sales volume. He was also responsible for many bank and referral partners, including Huntington Bancshares, Inc. (NASDAQ: HBAN), and SunTrust Banks, Inc. (NYSE: STI).

Mr. Marmino attended Michigan State University and holds a Bachelors of Science degree in Business Administration.

David Wren
Vice President, Marketing

David Wren serves as Vice President of Marketing for the Company. He developed and manages International Payments' extensive, cutting-edge eLearning systems, which deliver the industry's most technologically advanced, remote-learning platform today. Mr. Wren brings more than 25 years of retail sales and marketing experience to the Company. His responsibilities include the development of all promotion and marketing materials, including employee training and testing tools. Mr. Wren co-authored International Payments' Account Executive Training Workbook, which is one of the industry's most comprehensive handbooks for merchant services professionals. Mr. Wren's background includes high-tech consumer electronics, cellular communications, financial services, retail, automotive, and business-to-business communications. As an entrepreneur, he served as Executive Vice President of SuperSource Video, which licensed and distributed major motion pictures from Paramount Pictures (NYSE:VIA) to support the introduction of products such as JVC's (TSE: 6632) S-VHS video format. Mr. Wren has served as Managing Partner of Wren Advertising and as President of Wren Marketing Communications. He has provided marketing expertise to a wide variety of companies, including American Tower Corporation (NYSE: AMT); SIFE Trust Fund, acquired by Wells Fargo & Company (NYSE: WFC); and many closely held retail businesses in the San Francisco Bay Area.

Mr. Wren attended San Francisco State University and holds a Bachelors of Science in Economics, with additional studies in Marketing and Journalism.
